Private Membership Agreement — Chapel Access, Waiver of Suit, and Indemnification

Document: Membership Agreement, Waiver of Right to Sue, Assumption of Risk, and Indemnification for access to the private club and chapel.

Parties: The Private Religious Association and/or the Private Club (as defined below) and the undersigned Member.

Purpose: This Agreement grants the Member access to the private club and chapel in exchange for paid membership. It confirms that the Member is 21 years of age or older, that participation is limited to private members, that the chapel and sacraments shared are not sales but private gifts between members, and that the Member waives the right to sue and agrees to indemnify the Protected Parties as set forth below. This Agreement is intended to be a legally binding contract under the U.S. Constitution (Article I, Section 10 — Contract Clause; Fourteenth Amendment — Due Process and right to contract), the California Constitution, and applicable federal and state law.

IMPORTANT NOTICE — CONSUMER WAIVER: This Agreement contains a waiver of your right to bring a lawsuit and to a jury trial, an agreement to resolve disputes by arbitration, an assumption of risk, and an agreement to indemnify (reimburse and hold harmless) the Club, Church, and related parties. By signing, you give up significant legal rights. Please read the entire document carefully before signing. If you do not understand any part, consult an attorney before signing.

Preamble and Mutual Consent

1.1 Parties. This Private Membership Agreement ("Agreement") is entered into between: (a) the private religious association and/or the private membership club that operates the chapel and 21+ controlled areas (the "Association," "Club," or "Church," as context requires; collectively with their officers, directors, employees, agents, volunteers, and the owner of any host premises, the "Protected Parties"); and (b) the undersigned individual ("Member," "I," or "you").

1.2 Constitutional Basis. Both parties acknowledge that they are entering into this Agreement of their own free will and that they are exercising their rights under the Fourteenth Amendment to the U.S. Constitution (due process and the right to contract), U.S. Constitution Article I, Section 10, Clause 1 (the Contract Clause), and California Constitution Article I, Sections 1 and 3(a) (inalienable rights to associate, assemble, and acquire property). The parties intend this Agreement to be a legally binding private contract that the state may not impair.

1.3 Consideration. In exchange for the Member's payment of membership dues and fees (for access to the private club and chapel only, not for any sacrament), the Club grants the Member the privilege of access to the private club and chapel subject to the terms of this Agreement, the Club's bylaws, and the Club's Age Verification and access-control policies.

Declaration of Private Domain — Not a Public Accommodation

2.1 Private Club. I acknowledge and agree that the Association and the Club are private organizations, not places of public accommodation. I am exercising my right to freedom of association under the First Amendment to the U.S. Constitution and under California Constitution Article I, Section 3(a) (right to assemble freely). By signing this Agreement, I voluntarily step out of the public commercial sphere and into the private religious and associational sphere.

2.2 No Public Access. I understand and agree that the Club and chapel are not open to the public. Access is restricted to persons who have signed this Agreement, been accepted as members, and (where applicable) satisfied the Club's age-verification requirements. The provisions of federal and state laws that govern "places of public accommodation" do not apply to the Club or chapel because they are private clubs not in fact open to the public.

2.3 Voluntary Participation. I participate solely by mutual consent. I do not have a right of public access to the Club or chapel; my access is by contract only. I may be required to pay membership dues and fees for the privilege of access to the private club and chapel. Such dues and fees are for access to the facility and administration of the Club only — they are not payment for sacraments, which are never sold.

Membership Is Paid for Access to the Private Club

3.1 Dues and Fees for Access. I understand and agree that membership dues and any facility or access fees I pay are for access to the private club and chapel only. They support the maintenance of the facility, the administration of the Club, pastoral and religious operations, and the costs of operating a closed-membership private club. They are not payment for sacraments. Sacraments are not sold, and no fee is required to receive a sacrament.

3.2 No Purchase of Sacraments. I explicitly acknowledge that I am not purchasing any sacrament, good, or service from the Association or the Club when I pay dues or access fees. I am paying for the privilege of membership and access to the private facility. Any offering I may give in connection with a sacrament is a voluntary, non-refundable freewill offering or gift, not a purchase.

3.3 Refunds. Membership dues and access fees are generally non-refundable once access has been granted, except as the Club may specify in writing in its policies or as required by applicable law.

Age Requirement — 21+ Private Members Only

4.1 Representation of Age. I represent and warrant, under penalty of perjury, that I am at least twenty-one (21) years of age as of the date I sign this Agreement and that all information I provide about my identity and date of birth is true, correct, and complete.

4.2 Consequence of False Representation. I understand that if I am under 21 and I falsely represent myself as 21 or older, or if I use another person's identification or a falsified document, I may be committing fraud and identity-related offenses under applicable law. The Club and Church will treat such conduct as my sole responsibility. Such misconduct is grounds for immediate termination of my membership and permanent exclusion.

4.3 Consent to Age Verification. I consent to the Club's verification of my age and identity using government-issued identification and/or a third-party age-verification service. No membership or access will be granted unless and until the Club has verified that I am at least 21 years of age.

4.4 Personal Credential — Non-Transferability. If I am approved as a Member, I will receive a personal Membership Credential linked to my verified identity. I agree not to share, lend, transfer, sell, or permit any other person to use my Membership Credential. I agree to notify the Club immediately if my credential is lost, stolen, or compromised.

4.5 Participation Limited to 21+ Private Members. I acknowledge that participation in the Club and chapel is limited to private members who are 21 years of age or older. The Club does not admit the public or minors.

Chapel and Sacraments — Private Gifts Between Members; Not Sales

5.1 Religious Nature. I acknowledge and agree that my sole purpose for participating in the Club and chapel is to receive intangible religious benefits and to participate in sacraments and religious rites. These activities are protected under the First Amendment, California Constitution, the Religious Freedom Restoration Act, and applicable law.

5.2 Sacraments Are Not Sold. I explicitly acknowledge and agree that the Association and the Club do not sell, distribute, or furnish any sacrament. Sacraments are not offered in exchange for a fee or as a commercial transaction. Any sacramental materials present in the chapel are the private property of individual members or are shared among members as private gifts in the context of religious worship.

5.3 Private Gifts Between Members. I understand and agree that the chapel and sacraments shared are private gifts between members. Sharing of sacraments among members is voluntary, non-commercial, and religious. It is not a sale, distribution, or furnishing by the Club or the Church. I acknowledge that any offering I may give in connection with a sacrament is a voluntary, non-refundable freewill offering or gift — not a payment for goods or services.

5.4 Spiritual Ministers — Not Licensed Practitioners. I acknowledge that the individuals who facilitate or administer sacraments within the Association and Club are acting strictly as spiritual ministers in the context of religious practice. They are not state-licensed medical practitioners, therapists, or commercial vendors.

5.5 No Guarantee. I understand that sacraments and religious benefits are provided in a religious context only. The Association and Club make no guarantee of any particular spiritual or physical outcome. My participation is voluntary and at my own choice.

Renunciation of Enforcement and Regulatory Authority

5A.1 Member's Acknowledgment. I acknowledge and agree that the private religious association and the private club are not places of public accommodation and are not subject to the regulatory or enforcement authority of state or federal agencies with respect to the religious exercise, sacraments, or member-to-member sharing of sacraments conducted within the private domain. The chapel is a place of religious worship and a private, member-only space.

5A.2 Notice to Authorities. I acknowledge that the Association and Club may post or provide to any government agent or regulator who enters or seeks to enter the chapel a notice that the chapel is a private religious space, that sacraments are religious practice and private gifts between members, and that enforcement authority over sacraments and member-to-member religious gifting does not apply here.

5A.3 No Waiver of Criminal Law. Nothing in this Section 5A is intended to waive or deny the applicability of criminal law to conduct that is not protected religious exercise. The Association and Club do not engage in such conduct.

Waiver of Right to Sue and Agreement to Arbitrate

6.1 WAIVER OF RIGHT TO SUE. To the fullest extent permitted by applicable law, I waive and release any and all rights to bring a civil lawsuit against the Protected Parties in any court for any claim arising out of or relating to my membership, my access to the Club or chapel, my participation in religious rites or sacraments, my use of the facility, or any other matter within the scope of this Agreement. I waive my right to a jury trial for any such claim.

6.2 CONSUMER ACKNOWLEDGMENT — WAIVER. I acknowledge that I am giving up my right to go to court and to have a judge or jury decide any dispute that falls within the scope of this waiver. I have read and understand this waiver and sign it voluntarily.

6.3 Mandatory Arbitration. I agree that any dispute arising out of or relating to this Agreement, my membership, my access to the Club or chapel, or my participation in religious rites or sacraments shall be resolved exclusively by binding arbitration administered in accordance with the Club's internal grievance and arbitration procedures or by a designated private, faith-based arbitrator, and not by litigation in any court.

6.4 Ecclesiastical Abstention. I acknowledge the Ecclesiastical Abstention Doctrine: civil courts generally do not decide internal church disputes over doctrine, sacraments, clergy, or religious governance. I agree that disputes regarding the Association's or Club's doctrine, sacraments, ministerial decisions, or religious leadership are ecclesiastical matters to be resolved within the Association or Club, not in civil court.

6.5 Exceptions. Nothing in this Agreement waives my right to bring a claim that cannot legally be waived or to seek equitable relief in court where arbitration cannot provide such relief and where permitted by law.

6.6 Class and Representative Action Waiver. To the extent permitted by applicable law, I agree that any arbitration or proceeding shall be conducted on an individual basis only, and not as a class, collective, or representative action.

Assumption of Risk

7.1 Voluntary Assumption of Risk. I understand that participation in the Club and chapel, including participation in religious rites and sacraments, may involve inherent risks. I voluntarily assume full responsibility for any and all risks of injury, illness, loss, or damage to my person or property that may occur in connection with my membership, my access to the Club or chapel, my participation in religious rites or sacraments, my use of the facility, or my presence on the premises, whether known or unknown, and whether caused in whole or in part by the negligence of the Protected Parties or otherwise, to the fullest extent permitted by law.

7.2 Informed Participation. I represent that I am fully informed about the nature of the Club, the chapel, and the religious rites and sacraments. I have had the opportunity to ask questions and to consult with an attorney or other advisor if I wished. I choose to participate voluntarily.

7.3 CONSUMER ACKNOWLEDGMENT — ASSUMPTION OF RISK. I acknowledge that I am assuming the risk of any injury, loss, or damage that may occur in connection with my membership and participation. I have read and understand this assumption of risk and sign it voluntarily.

Indemnification

8.1 Agreement to Indemnify. To the fullest extent permitted by applicable law, I agree to indemnify, defend, and hold harmless the Protected Parties from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and costs) arising out of or relating to: (a) my breach of this Agreement; (b) my misrepresentation of age or identity or my use of fraudulent or stolen identification; (c) my allowing any other person, including a minor, to use my Membership Credential or to access 21+ areas or the chapel; (d) my conduct while on the premises or in connection with my membership; (e) any claim by a third party that arises from or is related to my conduct, my misrepresentation, or my violation of this Agreement or Club policy; and (f) any other matter for which I am responsible under this Agreement or under law. This indemnification obligation survives the termination of my membership.

8.2 Limitation. This indemnity does not require me to indemnify the Protected Parties for their own gross negligence or willful misconduct, to the extent that such limitation is required by applicable law and cannot be waived.

8.3 CONSUMER ACKNOWLEDGMENT — INDEMNIFICATION. I acknowledge that I am agreeing to reimburse and hold harmless the Club, the Church, and the other Protected Parties for certain claims and costs. I have read and understand this indemnification and sign it voluntarily.

Confidentiality and Privacy

9.1 Confidentiality. I agree to keep confidential the internal rites, practices, and identities of other members of the Club and Association. I will not record, photograph, or publicly disclose the internal rites or the identities of other members without their express consent and the consent of the Association or Club where required.

9.2 Privacy. I consent to the Club's and Association's collection and use of my personal information (including age and identity verification data) as described in the Club's Privacy Policy and in this Agreement, solely for membership, access control, and compliance purposes.

General Provisions

10.1 Entire Agreement. This Agreement, together with the Club's bylaws, Age Verification Policy, and any other policies expressly incorporated by reference, constitutes the entire agreement between the parties regarding membership and chapel access.

10.2 Severability. If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

10.3 Governing Law. This Agreement shall be governed by the laws of the State of California and the United States. Any arbitration shall be conducted in California unless otherwise agreed.

10.4 Amendments. The Club may amend its bylaws or policies from time to time. Continued use of the Club and chapel after notice of amendment may constitute acceptance of the amended terms where permitted by law.

10.5 Termination. The Club may terminate my membership at any time for violation of this Agreement or Club policy. Upon termination, my right to access the Club and chapel ceases immediately. The waiver, arbitration, assumption of risk, and indemnification provisions shall survive termination.

Signature and Acknowledgment

By signing below, I certify that:

  • I have read this entire Agreement and understand it.
  • I am at least 21 years of age and have provided true and correct information regarding my age and identity.
  • I understand that membership is paid for access to the private club and chapel only, not for sacraments.
  • I understand that the chapel and sacraments shared are private gifts between members and are not sales.
  • I have read and agree to Section 5A (renunciation of enforcement/regulatory authority).
  • I understand that I am waiving my right to sue and agreeing to arbitration for disputes.
  • I understand that I am assuming risk and agreeing to indemnify the Protected Parties as set forth above.
  • I am signing voluntarily and of my own free will. I have had the opportunity to consult an attorney before signing.
  • I agree to be bound by this Agreement and by the Club's bylaws and policies.
